How to Submit a Certificate of Correction
A Certificate of Correction is a document used to fix errors on a previously filed document with the Texas Secretary of State (SOS). Once processed, the SOS will update its filing records to reflect the corrected information.
Steps to Submit a Certificate of Correction
1. Understand the Purpose
The Certificate of Correction is specifically designed to amend mistakes or inaccuracies in previously submitted filings, ensuring your records with the SOS are accurate and up to date.
2. Complete the Certificate of Correction
a. Entity Information
- Provide your company’s registered name as listed with the Texas Secretary of State.
- Include the file number assigned to your business at the time of formation.
b. Filing Instrument to Be Corrected
- The term “filing instrument” refers to the document you initially submitted to the SOS.
- Specify the document you want to amend, such as the Certificate of Formation, along with the date it was originally filed.
c. Identify Errors and Provide Corrections
Clearly list the error(s) you want to fix and provide the corrected information. Common items that can be corrected include:
- Business Name
- Texas Registered Agent or Office
- Business Purpose
- Duration of the Business
- Modifications to Provisions (Additions, Alterations, or Deletions)
- Execution Errors
- Entity Names involved in Mergers, Conversions, or Exchanges
Important: Double-check your corrections to ensure accuracy, as errors will require submitting another Certificate of Correction.
3. Submit the Form

Fee: A $15 filing fee is required.
